Meeting conducted via Zoom

Derek Golembeski called the meeting to order at 5:35pm.

Attending: Vice President -Derek Golembeski, Treasurer - Shari Gross, Secretary - Liz Bugbee; Directors: Amanda Gates, Chauncey Dumbuya Brown, Wren Holquist, Sarah Parker, Colleen Daisley

Staff Personnel: Chief Executive Officer/General Manager - LeAnna Nieratko; Marketing Manager - Heidi Yeagle

Guests: No guests in attendance.

Member Owner Comments: No comments at this time.

Review of Last Month’s Minutes: Liz Bugbee

Motion was made by Colleen Daisley to accept the minutes as written. Shari Gross seconded. Motion passed.

Treasurer's Report: Shari Gross

No report this month.

CEO/GM Reporting: LeAnna Nieratko

CEO/GM Report: LeAnna presented and reviewed the December report. Sales were flat to last year at 26th, this despite being compared to last year's December promotion. Downtown was on track to make plan until the cooler failure at the end of the month. Cash balance and new member owners remain strong.

B9 - Emergency Management Succession: LeAnna reported evidence of compliance with all parts of the policy.

Motion was made by Sarah Parker to accept the CEO/GM report and policy review. Liz Bugbee seconded. Motion passed.

Board Policy Evaluation: Kevin Schaaf

D3 - Delegation to the CEO/GM: All Board Members reported compliance with all sections of the policy, citing relevant evidence.

Motion was made by Liz Bugbee to accept the policy review. Shari Gross seconded. Motion passed.

New Business:

Accounting Firm Search: LeAnna will share info she has gathered with the Financial Committee at the next meeting. Any proposed changes will not occur until next year.

Downtown Store Update: After many cooler failures/power outages at the beginning of January and discussion with the EDDC that resulted in their decision to close the Public Market, the closure of the Downtown Market was announced on January 11, 2024.

Email/Technology Help: deferred

An executive session was conducted from 5:55 to 6:51pm.

At the conclusion of the executive session, LeAnna put forth a motion for the Board to approve a $1.00/hour reduction in her salary. The Board put the motion to a vote and approved the motion unanimously.

Closure: Next board meeting is February 28, 2024 at 5:30pm.

Motion was made by Sarah Parker to adjourn the meeting. Wren Holquist seconded. Meeting adjourned at 6:53PM.
